Terms and Conditions

1. Scope of Services

We provide technology services including web and app development, cloud consulting, AI automation, cybersecurity, and managed support. Specific deliverables, timelines, fees, and acceptance criteria are governed by signed proposals, statements of work, or master service agreements.

2. Eligibility and Authority

You represent that you are at least 18 years old and have authority to bind yourself or your organization to these Terms and any related commercial agreement.

3. Client Responsibilities

• Provide complete and accurate project requirements and content.
• Provide timely approvals, access credentials, and required dependencies.
• Maintain lawful rights to materials supplied to us.
• Use delivered services in compliance with applicable laws and regulations.

4. Fees, Invoicing, and Payment

Fees are stated in project documentation. Unless otherwise agreed, invoices are payable within the period specified in the invoice. Late payments may result in service suspension, delayed delivery, or applicable late charges permitted by law.

5. Intellectual Property

Each party retains pre-existing intellectual property. Upon full payment, ownership of custom deliverables transfers as stated in the applicable agreement, excluding third-party tools, libraries, and reusable internal frameworks licensed separately.

6. Confidentiality

Each party shall protect non-public business, technical, and commercial information disclosed during the relationship and use such information only for authorized business purposes.

7. Acceptable Use

You must not misuse our website or services, including by introducing malware, attempting unauthorized access, infringing intellectual property, or violating applicable laws.

8. Warranties and Disclaimers

Except as expressly stated in a signed agreement, services and website content are provided "as is" and "as available." We disclaim implied warranties to the maximum extent permitted by law, including merchantability, fitness for a particular purpose, and non-infringement.

9. Limitation of Liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special, consequential, punitive, or loss-of-profit damages. Our aggregate liability arising out of a claim is limited to fees paid for the affected services in the 3 months preceding the claim, unless a different limit is stated in the signed agreement.

10. Indemnity

You agree to indemnify and hold us harmless against claims, damages, liabilities, and costs arising from your misuse of services, breach of these Terms, or violation of third-party rights.

11. Termination

We may suspend or terminate access for breach, non-payment, legal risk, or security concerns. Termination does not affect accrued rights, payment obligations, or terms intended to survive termination.

12. Governing Law and Jurisdiction

These Terms are governed by the laws of India. Courts with competent jurisdiction in India shall have exclusive jurisdiction for disputes, unless otherwise agreed in writing.

13. Changes to Terms

We may modify these Terms at any time by publishing an updated version with a revised Effective Date. Continued use after publication constitutes acceptance of updated Terms.
